1. Introduction

Welcome to the Taqriry Platform. Please read these Terms of Use carefully because they govern your access and use of the Taqriry Platform. If you are accessing and using the Taqriry Platform on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

By using the Taqriry Platform, you agree to be bound by these Terms. If you do not agree to be bound by these Terms, do not use the Taqriry Platform.

IMPORTANT NOTICE REGARDING ARBITRATION

WHEN YOU AGREE TO THESE TERMS YOU ARE AGREEING (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE BETWEEN YOU AND TAQRIRY THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT.

2. Definitions

Aggregate Data

means any data that is derived or aggregated in de-identified form from (i) any Customer Materials; or (ii) Customer's and/or its Authorized Users' access and/or use of the Taqriry Platform, including usage data or trends.

Authorized User

means an employee or contractor whom Customer has authorized to access and use the Taqriry Platform.

Customer Materials

means all information, data, content, and other materials, in any form or medium, that is submitted, posted, collected, transmitted, or otherwise provided by or on behalf of Customer through the Taqriry Platform.

Taqriry Platform

means Taqriry's proprietary AI-based software-as-a-service platform, and all associated technology, which is made available by Taqriry to Customer and is intended to integrate with Customer's applications and enable automatic transcription of audio and video calls.

3. Platform Access and Use

License Grant

Subject to the terms and conditions of these Terms, Taqriry hereby grants to Customer a limited, non-exclusive, non-transferable right to access and use the Taqriry Platform during the Term, solely for Customer's internal business purposes.

Use Restrictions

Customer will not at any time, and will not permit any third party to, directly or indirectly:

Compliance and Security

Customer must use the Taqriry Platform in accordance with all applicable laws and regulations, including data protection and privacy laws. Customer must implement appropriate security measures to protect access credentials and confidential information.

4. Fees and Payment

Fee Structure

You agree to pay Taqriry all fees agreed upon in connection with your registration and/or use of the Taqriry Platform. Fees vary based on your selected subscription tier.

Payment Terms

Taxes

You will be responsible for all value-added tax (VAT), sales tax, and any other similar taxes, duties, or charges imposed by the Kingdom of Saudi Arabia or any local governmental regulatory authority.

7. Warranties

Mutual Warranties

Each party warrants that it has full legal authority to enter into this agreement and that performance of its obligations will not violate any other agreement to which it is a party.

Disclaimer

THE TAQRIRY PLATFORM IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

9. Indemnification

Customer Indemnification

Customer agrees to indemnify, defend, and hold harmless Taqriry from any claims, damages, or losses arising from: (a) Customer's use of the Platform; (b) Customer's breach of these Terms; (c) Customer's violation of any law or third-party right.

Taqriry Indemnification

Taqriry will indemnify and defend Customer against any third-party claim alleging that the Taqriry Platform infringes a third-party patent, copyright, or trademark.

11. Compliance

Data Protection

Taqriry complies with applicable data protection laws, including GDPR and Saudi Personal Data Protection Law.

Industry Standards

12. General Provisions

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to conflict of laws principles.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be severed and the remainder of these Terms will remain in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between the parties relating to the subject matter hereof and supersede all prior agreements and understandings.
